Prokkari SaaS Terms of Service
These terms apply to organization subscriptions for the Prokkari cloud service.

1. Service and contracting parties
Prokkari is a SaaS service for project, resource, time and offer management in business and organization use.
The subscriber is responsible for ensuring that the person registering the workspace is authorized to accept these terms on behalf of the organization. The provider's official company name, business ID, address and contact details will be completed before public launch.
2. Accounts, users and security
The subscriber is responsible for user account accuracy, access rights and careful handling of login credentials.
The cloud plan includes up to 10 active organization members unless otherwise agreed in writing. Two-factor authentication is an optional user-level security feature.
3. Trial, pricing and payments
The cloud service may include a 14-day trial. Paid subscriptions are processed through Stripe, and prices are shown excluding VAT unless stated otherwise.
The subscriber is responsible for payment details, tax and billing information, and keeping the subscription current.
4. Acceptable use and customer content
The service may only be used for lawful business purposes. Illegal, infringing or unnecessarily sensitive material must not be stored in the service.
The subscriber owns the customer content entered into the service. The provider processes it to deliver, maintain, protect and improve the service.
5. Availability, changes and support
The service is kept available using commercially reasonable efforts. Maintenance, updates and incidents may occur.
The service may be changed when the change improves security, maintainability or functionality and does not materially reduce the subscriber's intended use.
6. Limitation of liability
The service is provided for business use. Liability for indirect damage, business interruption, lost profit or data loss is limited to the extent permitted by law.
Nothing in these terms limits liability where mandatory Finnish law does not allow such limitation.
7. Termination
The subscriber may end the subscription through the Stripe customer portal or another agreed written method. An unpaid, canceled or expired subscription may be limited to billing and export functions.
After termination, retention and deletion follow the privacy notice and any applicable data processing agreement.
8. Governing law
These terms are governed by Finnish law, excluding conflict-of-law rules. Disputes should first be resolved through negotiation.
If no settlement is reached, disputes are resolved in a competent Finnish court unless mandatory law requires otherwise.
